DLA Piper advises VEHIS Finanse on landmark PLN1.35 billion securitization transaction

DLA Piper has advised VEHIS Finanse sp. z o.o., one of Poland’s leading sales financing businesses, on the conversion of its warehouse financing structure into Poland’s first public securitisation transaction worth PLN1.35 billion (USD372.5 million). The transaction included a PLN1.35 billion (USD372.5 million) portfolio of auto leases originated by VEHIS Finanse being sold to an Irish Designated Activity Company (DAC) through a true-sale securitisation helping VEHIS raise financing, underwritten by the European Investment Bank, European Investment Fund, and Banco Santander.

The funding will be utilised to generate a new portfolio of SME and mid-cap leases worth PLN2.6 billion (USD717.6 million) with at least 30% of new financing going to women-led businesses and 10% supporting positive climate action through electric vehicle leasing. The transaction is Poland’s first transformation of a warehouse financing portfolio into a full public securitisation, marking a milestone in Polish capital markets.

A multi-practice and cross border team from DLA Piper’s offices in Poland, UK, and Ireland worked on the transaction.
