Gaston International acquires Lucapa Diamond Company

Global law firm DLA Piper has advised Gaston International DMCC (Gaston), part of the Jemora Group, on its binding proposal to acquire 100% of ASX-listed Lucapa Diamond Company Limited (Administrators Appointed).

The proposed transaction, to be implemented by way of a Deed of Company Arrangement, involves Gaston acquiring all issued shares of Lucapa, including its interests in the world-class Lulo Diamond Mine and Lulo Kimberlite Exploration Project in Angola, as well as the Merlin Diamond Mine in Australia’s Northern Territory and the Brooking Project in Western Australia.

DLA Piper’s cross-border team was led by partners Matthew Watkins (Corporate), Lionel Meehan (Finance), and Canada-based Corporate partner Raj Dewan. They worked closely with a wider team in Angola and across the firm’s global offices.

Commenting on the transaction, Matthew said: “This transaction is a strategic milestone for Gaston and provides the opportunity to consolidate a portfolio of high-value diamond assets across two continents.”

“It underscores our position as a leading global adviser in cross-border M&A particularly in the energy and resources sector, and its ability to mobilise multi-disciplinary teams to support clients on high-profile and strategically important acquisitions.”
